Terms of Service

1. Agreement

These terms govern your use of the Gild website and managed service, operated by WealthSpace Ltd (Company No. 15396707), registered in England & Wales. By accessing or using Gild, you agree to these terms. If you do not agree, please do not use our services.

2. The Service

Gild provides a managed AI documentation service for FCA-authorised financial advice firms. The service includes a proprietary document generation engine (Report Forge), a branded client portal, and dedicated consultant support. The service connects to your existing data systems or accepts uploaded data, and produces suitability reports and related documentation based on the data you provide.

Gild is a service to assist in document production. It does not provide financial advice. The content, accuracy, regulatory compliance, and suitability of each report remains the responsibility of the authorised firm and the advising individual. All generated documents must be reviewed and approved by a suitably qualified person before use.

3. Onboarding & Subscriptions

A one-time managed onboarding fee is payable at the start of your engagement, as agreed during your demonstration. This fee covers your template build, portal configuration, and data onboarding. The onboarding fee is non-refundable once onboarding has commenced.

Ongoing access to Gild is provided on a subscription basis. Monthly subscriptions are billed monthly in advance and may be cancelled with 30 days' notice. Annual subscriptions are billed upfront or quarterly as agreed and run for a 12-month term. Monthly subscription fees are not refundable for partial months.

Prices are exclusive of VAT unless stated otherwise. We reserve the right to adjust pricing with 60 days' notice before your next renewal date.

4. Payment

Payment is collected by direct debit or card as agreed during onboarding. If a payment fails, we will notify you in writing and provide a 14-day grace period to resolve the issue. If payment remains outstanding after this period, we may suspend access to the service until the balance is settled.

5. Your Responsibilities

You are responsible for the accuracy of data provided to Gild and for reviewing all generated documents before sending them to clients. You must ensure that any advice documented through Gild is suitable and compliant with FCA requirements.

You must not share your login credentials or allow unauthorised individuals to access your account. You must maintain valid FCA authorisation for the duration of your subscription.

6. Intellectual Property

The Gild platform, including its design, code, document generation engine, and report template structures, is the intellectual property of WealthSpace Ltd. Documents generated through Gild are owned by your firm.

Report templates built during your onboarding remain the intellectual property of WealthSpace Ltd. You are granted a licence to use these templates for the duration of your subscription. On termination, this licence ceases.

7. Limitation of Liability

We do not accept liability for the content, accuracy, or regulatory compliance of documents generated through the platform. All generated documents must be reviewed and approved by a suitably qualified individual before use. Responsibility for the suitability of advice remains with the authorised firm.

Neither party shall be liable for any indirect, consequential, or incidental losses, including loss of profit, loss of data, or loss of business opportunity, arising from or in connection with these terms.

Our total aggregate liability under these terms shall not exceed the amount paid by you for the Gild service in the 12 months preceding any claim.

8. Termination

Either party may terminate a monthly subscription with 30 days' written notice. Annual subscriptions run for the full term unless terminated for cause.

Either party may terminate immediately by written notice if the other party commits a material breach of these terms that remains unremedied 14 days after written notice of the breach.

On termination, your access to the platform and portal will cease. Any firm website provided as part of a Professional Plus subscription will be taken offline within 30 days unless alternative arrangements are agreed. All stored client data will be permanently deleted within 30 days of termination.

9. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, failure of third-party infrastructure providers, cyber attacks, or power failures.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
